1. Terms Acceptance

Welcome to Voxly Voice Mood Diary (hereinafter referred to as "Voxly", "this application", or "service"). This service is provided by PlanBWork (hereinafter referred to as "we" or "company").

By using Voxly, you agree to be bound by these Terms of Service (hereinafter referred to as "terms"). If you do not agree to these terms, please do not use this service.

2. Service Description

Voxly is a voice mood diary application that provides the following main features:

• Voice recording and transcription
• Emotion analysis and mood tracking
• Personalized insights and statistics
• Community features (Tree Hole, Message in a Bottle)
• Local data storage

We reserve the right to modify, suspend, or terminate the service (or any part thereof) at any time without notice.

3. Eligibility

• You must be at least 13 years old to use this service
• If you are under 18, you must have consent from a parent or legal guardian
• You must provide accurate and complete registration information
• You are responsible for maintaining account security

4. Account Responsibilities

When you create a Voxly account, you agree to:

• Provide true, accurate, current, and complete information
• Maintain and promptly update your account information
• Protect your account password security
• Be responsible for all activities under your account
• Notify us immediately upon discovering any unauthorized use

5. Service Provision

Voxly is currently provided as a free application, including all core features: voice recording, emotion analysis, local storage, and community interaction features.

6. Usage Guidelines

When using Voxly, you agree not to:

• Violate any applicable laws or regulations
• Upload or share illegal, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, or otherwise objectionable content
• Infringe upon others' intellectual property rights or privacy rights
• Transmit viruses or other malicious code
• Attempt unauthorized access to the service or related systems
• Interfere with or disrupt the normal operation of the service
• Use automated tools to access the service
• Use the service for any commercial purpose (unless you have our written permission)

7. Content Ownership

7.1 Your Content

You retain ownership of all content you create in Voxly (including voice recordings, text, photos, etc.). You grant us a limited license solely for providing and improving the service.

7.2 Our Content

The Voxly application, including but not limited to text, graphics, logos, icons, images, audio clips, and software, is the property of PlanBWork or its licensors and is protected by copyright and other intellectual property laws.

7.3 Feedback

If you provide us with any feedback or suggestions, you grant us the right to use such feedback without restriction and without compensation to you.

8. Privacy Protection

Your privacy is important to us. Our Privacy Policy explains how we collect, use, and protect your information. By using Voxly, you agree that we may process your data in accordance with our Privacy Policy.

9. Disclaimers

9.1 Service Provided "As Is"

Voxly is provided on an "as is" and "as available" basis, without any express or implied warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

9.2 No Warranties

We do not warrant:

• The service will be uninterrupted, timely, secure, or error-free
• Results generated by the service will be accurate or reliable
• The service will meet all your requirements or expectations

9.3 Medical Disclaimer

Voxly is not a medical device and should not be used to diagnose, treat, or prevent any disease or health condition. If you have mental health concerns, please consult a qualified medical professional.

10. Limitation of Liability

To the maximum extent permitted by applicable law, PlanBWork and its affiliates, directors, employees, and agents shall not be liable for:

• Any indirect, incidental, special, punitive, or consequential damages
• Loss of profits, revenue, data, or use
• Service interruptions or data loss

Even if we have been advised of the possibility of such damages. Our total liability shall not exceed the amount you paid us in the past 12 months.

11. Indemnification

You agree to indemnify, defend, and hold harmless PlanBWork and its affiliates, directors, and employees from any claims, damages, losses, and expenses (including reasonable attorney fees) arising from your violation of these terms or use of the service.

12. Service Modification and Termination

• We may modify or terminate the service at any time
• We may terminate or suspend your account for any reason
• Upon termination, your right to use the service ceases immediately
• Termination does not affect any existing rights or obligations of either party

13. Terms Changes

We reserve the right to modify these terms at any time. For significant changes, we will:

• Notify you within the application
• Update the "Last Updated" date at the top of this page
• Give you reasonable notice before changes take effect

Continued use of Voxly constitutes acceptance of the modified terms.

14. Governing Law and Dispute Resolution

• Governing Law: These terms are governed by the laws of the Republic of China (Taiwan)
• Jurisdiction: Taipei District Court of Taiwan shall be the court of first instance
• Dispute Resolution: Parties should first attempt to resolve any disputes through amicable negotiation

15. Other Terms

• Entire Agreement: These terms constitute the entire agreement between you and us regarding the service
• Severability: If any provision is deemed invalid, the remaining provisions remain effective
• No Waiver: Failure to enforce any provision does not constitute a waiver of that provision
• Assignment: You may not assign your rights under these terms; we may freely assign ours
